III. CONFIDENTIALITY UNDERTAKING
In
the anticipation of access to confidential information from Chip
Mong Group relating to the Structure Works for the Construction of Chip
Mong Group Family Residence and/or its holding company, subsidiaries
or associated companies (individually or collectively, as the context may
require, the Companies ).
1. In consideration of the Companies
disclosure of the Information to us, we agree;
(a)
to
use all Information to which we may have access only in the performance of the
feasibility assessment
(b)
not
to disclose the engagement to any party unless approved by Chip Mong Group
(c)
not
to use the Information, directly or indirectly, for our own purposes, or those
of any other person
(d) not
to disclose any information, directly or indirectly, to any person without the
prior written approval of the Companies, except to (I) those other employees of
the Companies who require access to the information in the performance of their
duties and (ii) such third parties that have been previously authorized by the
Companies to receive information; and
(d) not
to reproduce, transmit of copy any portion of the information by any means or
on any media, or compile any note or memoranda relating to any portion of the
information, other than for the exclusive benefit of the Companies.
2. We acknowledge that any unauthorized use or
disclosure of the information:
(a)
shall
be grounds for summary dismissal without prejudge to any other remedies that
the Companies may have:
(b)
will
cause irreparable damage to the Companies and entitle the Companies to
immediate injunctive relief; and
(c)
may
result in liability to the Companies from third party owners of such
information which is in the lawful possession of the Companies, and agree to
fully indemnify the Companies, their officers, directors, agents and employees
for all claims, losses and expenses (including legal fees) related thereto.
3. In the
event that we make or cause, directly or indirectly, an unauthorized use or
disclosure of the information, we will immediately notify the companies and
take, at my expense, all steps necessary to recover the information and to
prevent its subsequent unauthorized use or dissemination. If we fail to take these steps in a timely
and adequate manner, the Companies may take them in their own name and at our
expense, without prejudice to any other remedies that the Companies may have.
4.
This
Undertaking will impose no obligation of confidentially with respect to any
portion of the information that;
(a)
we
independently knew or developed before receiving the Information from the
Companies;
(b)
we lawfully obtained from a third party under
no obligation of confidentiality;
(c)
became available to the public other than as a
result of my act or omission; or
(d)
is required to be disclosed by a court or
government official, provided that we have given the companies reasonable prior
notice of the require disclosure where permitted by
law and afford the Companies the opportunity to obtain an injunction.
5. Upon
oral or written request from the Companies at any time during my employment, or
when our employment with the Companies ceases for any reason. We will promptly return to the Companies all
notes, documents, memoranda, diskettes and any other media that contain any
portion of the information.
6. If any
provision of this Undertaking is held to be unenforceable. In whole or in part, it shall be severed, and
such holding will not affect the validity of the other provision of this
Undertaking.
7. This
undertaking will be governed by and interpreted in accordance with the laws of
Cambodia, and I irrevocably submit to the not-exclusive jurisdiction of the
courts of Cambodia with respect to any action relating thereto. This Undertaking constitutes the complete and
entire statement of all terms, conditions and representations of my agreement
with the Companies with respect to its subject matter and supersedes all prior
writings or understandings.
